1. Acceptance of Terms
By accessing or using OPCALLS ("Service"), operated by OPCALLS Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
OPCALLS provides an AI-powered voice agent platform that enables businesses to deploy and manage automated voice agents for customer engagement. The Service includes a web dashboard, embeddable widgets, phone integrations, and associated APIs.
3. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Ensuring your use of the Service complies with applicable laws and regulations.
- Providing accurate, complete, and current account information.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights.
- Transmit spam, unsolicited messages, or abusive content.
- Impersonate any person or entity or misrepresent your affiliation.
- Attempt to gain unauthorized access to any part of the Service or its systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to conduct fraudulent activities or deceive end users.
5. AI-Generated Content
The Service uses AI language and voice models to generate responses. You acknowledge that AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, configuring, and supervising AI agent behavior deployed under your account, including all end-user interactions.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms. You are responsible for obtaining any necessary consents from your end users for data collection and AI interaction.
7. Billing and Payments
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Payments are processed securely by Stripe.
8. Intellectual Property
The Service, including its software, design, and content, is owned by the Company and protected by intellectual property laws. You retain ownership of content you upload, but grant us a limited license to use it to provide the Service. You may not copy, modify, or reverse-engineer any part of the Service.
9. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or data, arising from your use of or inability to use the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may cancel your account at any time via the dashboard. Upon termination, your right to use the Service ceases immediately.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice in the dashboard. Continued use of the Service after changes constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
